Welcome to Nyrova Trading Ltd (“we”, “us”, “our”). These Terms of Service (“Terms”) apply to your use of our website at https://www.nyrovatrading.com/ (the “Site”) and any enquiries, quotations, and supply arrangements made with us. By using the Site, you agree to these Terms.

2) TRADE CUSTOMERS ONLY
Our Site and services are intended for business customers and professional buyers only (“Trade Customers”).
You confirm that you are acting for purposes relating to your trade, business, craft, or profession.
We do not knowingly sell to consumers. If you are a consumer, please do not use this Site to request trade access.
3) SITE PURPOSE / NO ONLINE CHECKOUT
The Site is provided to showcase our category coverage and to enable Trade Customers to request access, request availability, or contact us.
Unless we explicitly enable it in writing, the Site does not constitute an online shop and does not provide consumer-style checkout.
Any product images, descriptions, or category examples are indicative and do not guarantee availability.
4) REQUEST ACCESS / ACCOUNT APPROVAL
Where the Site includes a “Request Access” or similar form:
- submitting a request does not guarantee approval;
- we may request verification (e.g., company details, trading history, intended use, delivery address);
- we may accept or decline applications at our discretion; and
- we may suspend or withdraw access if we believe information provided is inaccurate, incomplete, or no longer up to date.
5) QUOTATIONS, ORDERS, AND CONTRACT FORMATION
5.1 Quotations
Any quotation or price indication we provide is an invitation to treat and may be withdrawn or amended at any time (including due to stock changes, cost changes, or supplier updates).
5.2 How orders are placed
Orders are placed via quotation acceptance, purchase order, email confirmation, or invoice acceptance (as agreed with you). A binding contract is formed only when we issue an order confirmation or invoice and/or dispatch goods (unless stated otherwise).
5.3 Trade terms / case packs
Some items may be supplied in case quantities, multipacks, or minimum order quantities. Where applicable, this will be stated on the quotation, invoice, or order confirmation.
6) PRICING, VAT, AND PAYMENTS
6.1 Pricing
Unless stated otherwise, prices are:
- quoted in [GBP / EUR] and
- [EXCLUSIVE OF VAT] (or “inclusive of VAT” if that’s how you trade — choose one and keep it consistent).
6.2 Payment terms
Payment terms will be stated on the quotation/invoice. Unless a credit account has been approved in writing, orders may be pro-forma (payment before dispatch).
Late payments may result in paused dispatches and/or withdrawal of trade access.
6.3 Errors
We aim to keep information accurate, but obvious pricing/description errors may be corrected. If an error affects your order, we will contact you with options (reconfirm at corrected price or cancel).
7) SHIPPING, DELIVERY, AND RISK
7.1 Delivery
Delivery options, estimated timings, and charges (if any) will be confirmed at quote/order stage. Delivery times are estimates and not guaranteed.
7.2 Risk and title
Unless otherwise agreed in writing:
- risk in the goods passes to you upon delivery to the stated delivery address (or upon collection if collected);
- title (ownership) passes once we have received cleared payment in full.
7.3 Inspection on delivery
You must inspect deliveries promptly. Any shortages, damage, or discrepancies should be reported within [48 hours / 2 business days] of delivery, with supporting photos where possible.
8) RETURNS, REFUNDS, AND CLAIMS (TRADE)
Because we supply Trade Customers, consumer cancellation rights do not apply.
8.1 Faulty / incorrect items
If goods are faulty, incorrect, or materially not as described, you must notify us within [X] days of delivery. We may request evidence and batch/lot details. Remedies may include replacement, credit, or refund, depending on circumstances and supplier outcome.
8.2 Non-fault returns (if offered)
If we agree in writing to accept non-fault returns:
- items must be unused, unopened, and in original packaging;
- returns must be authorised in advance; and
- a restocking fee and/or return shipping costs may apply.
(Some lines may be non-returnable. We will confirm at the time.)
8.3 Final sale / clearance
Clearance, short-dated, or “final sale” items may be non-returnable unless faulty.
9) PRODUCT COMPLIANCE, TRACEABILITY, AND DOCUMENTATION
We aim to supply genuine goods sourced through reputable channels and to provide standard trade documentation (e.g., invoice, delivery note). Documentation availability can vary by brand and product type.
You are responsible for ensuring products are suitable for your intended market, labelling requirements, and any regulatory obligations applicable to your onward supply.
10) ACCEPTABLE USE
You agree not to:
- misuse the Site, attempt unauthorised access, scrape content, or interfere with Site operation;
- use the Site in a way that breaches laws/regulations; or
- misrepresent your business identity when requesting access.
11) INTELLECTUAL PROPERTY
All Site content, including text, layout, logos, and design elements, is owned by or licensed to Nyrova Trading Ltd, unless otherwise stated. Certain images, trademarks, or product visuals may be the property of their respective owners and are used for illustrative or informational purposes only.
Nothing on this Site grants any licence or right to use any intellectual property without the prior written permission of the relevant rights holder.
12) LIMITATION OF LIABILITY

We are not responsible for delays or failure to perform due to events beyond our reasonable control (including supply disruption, carrier delays, customs issues, strikes, or acts of government).
